1. Parties

This Agreement is between Digital Foundry Labs ("DFL") and the approved Partner ("Partner") who has been accepted into the Partner Program.

2. Program Participation

Partner participates in the Creator, Pro, or Elite tier as approved by DFL, subject to this Agreement and the current program documentation.

3. Commissions

Commissions are paid on qualifying referrals based on net revenue after refunds, chargebacks, taxes, and discounts. Payout schedule and thresholds are described in the partner dashboard.

4. White-Label Rights

Elite Partners receive limited, revocable white-label rights across MakerMint Magic and Digital Foundry Labs, plus reseller pricing for select Digital Fabricators Studio products, as described in the program documentation.

5. Intellectual Property

All underlying software, content, trademarks, and materials remain the property of DFL and its licensors. Partner receives a limited, non-exclusive license to use approved marketing assets while active in the program.

6. Conduct & Ethics

Partner agrees to honest promotion, respectful marketing, and compliance with applicable laws — including truthful representations of pricing, features, and results. Spam, misleading claims, and trademark bidding are prohibited.

7. Term & Termination

Either party may terminate this Agreement with written notice. DFL may suspend or terminate Partner immediately for material breach, fraudulent activity, or violation of the Conduct & Ethics section.

8. Limitation of Liability

To the maximum extent permitted by law, DFL is not liable for indirect, incidental, or consequential damages arising from Partner's participation in the program.

9. Governing Law

This Agreement is governed by the laws of the jurisdiction designated by DFL, without regard to conflict-of-law principles.

10. Entire Agreement

This Agreement, together with the current program documentation, constitutes the entire understanding between the parties and supersedes any prior agreements on the same subject.
